End-user license agreement
1. The software
"Software" means the QuickBooks invoicing application operated by Big Time Data, LLC, which reads tracked consulting hours and prepares draft invoices in QuickBooks Online.
2. Who may use it
The Software is internal. It is licensed only to Big Time Data personnel authorized by the company, for the sole purpose of preparing Big Time Data's own invoices. It is not sold, distributed, sublicensed, or made available to customers or any other third party.
3. Grant of license
Big Time Data grants authorized users a non-exclusive, non-transferable, revocable license to use the Software for that purpose. All rights not expressly granted are reserved.
4. Restrictions
- Do not use the Software to access any QuickBooks company file other than Big Time Data's own.
- Do not distribute, publish, or sublicense the Software.
- Do not use the Software in violation of Intuit's or Toggl's terms of service, or of applicable law.
5. Third-party services
The Software depends on QuickBooks Online, operated by Intuit Inc., and Toggl Track, operated by Toggl OU. Use of those services is governed by their own terms. Big Time Data does not control them and is not responsible for their availability, accuracy, or conduct.
6. Invoices are reviewed by a person
The Software prepares draft invoices. It does not send them. Every invoice is reviewed and sent by a person, who is responsible for its accuracy. Do not rely on the Software's output without reviewing it.
7. No warranty
The Software is provided "as is", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Big Time Data does not warrant that the Software will be uninterrupted, error-free, or that its calculations will be correct in every case.
8. Limitation of liability
To the fullest extent permitted by law, Big Time Data is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from use of the Software.
9. Termination
This license terminates automatically when a user ceases to be authorized, and may be revoked by Big Time Data at any time. On termination, stop using the Software and delete any local credentials and generated files.
10. Governing law
This agreement is governed by the laws of the State of California, without regard to its conflict-of-law rules.
